Founding Contractor Agreement

Effective Date: October 14, 2026  |  Version 1.0

This Founding Contractor Agreement ("Agreement") applies to a Contractor whom HammerDuck LLC ("HammerDuck") has pre-approved for Founding Contractor status. This Agreement supplements, and is incorporated into, the HammerDuck Terms of Service, the HammerDuck Contractor Agreement, and the HammerDuck Billing/Refund Terms. Where this Agreement and any of those documents both address a Founding Contractor’s membership, rate, badge, or status, this Agreement controls. This Agreement is intended to document, and does not diminish, the terms already promised to you in HammerDuck’s dated founder letter and logo-usage permission; if any provision of this Agreement is read to conflict with those promises, this Agreement’s terms govern going forward, and HammerDuck will not use this Agreement to take back a commitment already made to you in writing.

1. Eligibility

Founding Contractor status is granted only by HammerDuck’s pre-approval, using neutral business criteria consistent with the Terms of Service’s non-discrimination standard, and is not available by simply signing up. Your phone number, e-mail address, and trade are placed on an allowlist by HammerDuck; the status attaches automatically the first time that person signs up under that phone, e-mail, and trade. Founding status is capped at three Contractors per trade across the entire Central Savannah River Area service territory. If you hold more than one trade, your Founding badge is shown only next to the trade for which you were pre-approved.

2. The Founding Offer

As a Founding Contractor, you receive: HammerDuck free of charge from the Effective Date like every Contractor; then 60 free days starting the day you register a payment card or December 1, 2026, whichever is later; then a locked membership rate of $20 per month for as long as your account remains active and in good standing; and the badge license described in Section 5. Your Founding Contractor rate and status continue only while your account remains active, in good standing, and has not lapsed or been cancelled, as described in Sections 3 and 4.

3. Good Standing and the Rate Lock

Your account is in "good standing" for as long as it remains active, is not suspended for a documented violation of HammerDuck’s Terms of Service or Contractor Agreement, including the Terms of Service’s non-discrimination standard, and continues to operate within this Agreement once you have signed it. For as long as your account is in good standing, your $20 monthly rate does not increase, even if HammerDuck raises the standard membership price under the Billing/Refund Terms; HammerDuck will still give you advance notice before any membership price change, consistent with the notice already promised in your founder letter. If something ever puts your Founding status at risk, HammerDuck will tell you directly and give you a chance to fix it before your status is affected, consistent with that same promise, except where the Contractor Agreement permits immediate suspension for fraud, a safety threat, or illegal activity.

4. Failed Payment, Grace Period, and Loss of Status

If a renewal payment fails, you keep full access to your account, your $20 rate, and your Founding badge during a one-time 14-day grace period for the first failed payment on your account, and a 3-day grace period for any later failed payment, in each case with an in-app notice and an e-mail stating the deadline and a "Manage billing" link, as described in the Billing/Refund Terms. If you pay within the applicable grace period, nothing about your Founding status changes.

If you have not added a payment method to your account by December 15, 2026, your Founding Contractor status and $20 rate end on that date and are not restored. HammerDuck will give you written notice of this deadline by e-mail on December 1, 2026, with reminder e-mails on December 8 and December 12, 2026; this notice satisfies the notice-and-cure commitment in Section 3 with respect to this deadline. If your status ends under this paragraph, you continue as a standard member at the standard rate under the Billing/Refund Terms, with your account, bids, and history intact, but without the Founding rate or badge.

Your Founding Contractor status and $20 rate also end immediately, and are not restored, if: your account lapses because a grace period ends unpaid; you cancel your membership and it is not reactivated before the end of your then-current period; or your account is terminated for cause under the Contractor Agreement and that termination is not reversed on appeal. If you later resubscribe or reactivate after any of these events, you do so as a standard member at the then-current standard rate, with no new free period and no Founding badge; your founding slot, once lost, is not reassigned to you, and this Agreement makes no promise of reinstatement.

5. Badge License

HammerDuck grants you a limited, non-exclusive, non-transferable, revocable license to display the "HammerDuck Founding Contractor" badge and mark, exactly as HammerDuck makes it available, in your own marketing (your website, business cards, vehicle signage, and social media), for as long as your account is in good standing. You may not alter the badge, combine it with other marks in a way that suggests co-branding or partnership, or use it to suggest that HammerDuck endorses the quality of your work; the badge reflects early membership only. If your Founding status ends under Section 4, this license ends automatically, and you agree to stop using the badge in any new materials; HammerDuck will not require you to immediately remove the badge from existing physical items such as a vehicle wrap or printed signage, but you may not reorder, reprint, or newly display it after your status ends.

6. Acknowledgment

By accepting this Agreement on your Contractor dashboard, or by continuing to use your Founding Contractor account after receiving this Agreement, you acknowledge that you have read this Agreement, that it documents the terms of your Founding Contractor status consistent with HammerDuck’s prior written promises to you, and that it does not reduce any right given to you in HammerDuck’s founder letter or logo-usage permission.

7. Relationship to Other Documents

This Agreement is part of, and should be read together with, the Terms of Service, the Contractor Agreement, and the Billing/Refund Terms, each of which continues to apply to your account except where this Agreement expressly states otherwise.
